These Terms and Conditions of Service (“Terms”) govern access to and use of RegistryRail™, a neutral evidentiary infrastructure operated by VerifiedClimate™ Limited (the “Company”, “VerifiedClimate™”, “we”, “us”, or “our”), including the website at https://www.registryrail.com and all associated systems and interfaces (the “Services”).
By accessing or using the Services, you (“User”) agree to be bound by these Terms. If you do not accept them in full, you must not use the Services.
Definitions
For the purposes of these Terms:
"RegistryRail™” means the neutral evidentiary infrastructure through which Records are issued, timestamped, sealed, and preserved.
“Submitter” means any individual or entity that enters a declaration, statement, summary, milestone, or supporting materials into the Services for the purpose of issuing a RegistryRail™ Record, whether acting on its own behalf or on behalf of another organisation.
“User” means any individual or entity that accesses or uses the Services, whether or not they submit content.
"RegistryRail™ Record” means a neutral, procedural evidentiary artefact issued at the point of declaration in the Time-Sealed Format, incorporating issuance-time custody metadata, cryptographic integrity protections, and structured evidentiary outputs, including a Live Record URL and a sealed Reviewer Copy.
"Reviewer Copy” means the sealed, downloadable representation of a RegistryRail™ Record, generated at issuance and designed for independent institutional retention, citation, and evidentiary use, without reliance on any live interface, system availability, or URL.
RegistryRail™ operates neutral, procedural evidentiary infrastructure for the issuance of RegistryRail™ Records — locked evidentiary artefacts issued at the point of declaration and preserved under neutral custody using the RegistryRail™ evidentiary infrastructure.
The Services provide procedural infrastructure only.
RegistryRail™ does not certify, validate, assess, interpret, endorse, or guarantee any submitted content. This separation is intentional: RegistryRail™ provides evidentiary infrastructure; institutions retain judgment, assurance, and reliance decisions.
All evaluation, reliance, and regulatory determination remain with independent third parties.
VerifiedClimate™ operates the climate-sector instance of RegistryRail™, the underlying evidentiary infrastructure designed to issue timestamped, tamper-evident records across multiple domains.
Content presented on the RegistryRail™ website is descriptive only.
No evidentiary status attaches to website text, explanations, or examples.
Evidentiary status attaches only to issued VerifiedClimate™ Records.
1.1 What RegistryRail™ Records Provide and Do Not Provide
RegistryRail™ Records provide:
• Issuance-time cryptographic timestamping (RFC-3161)
• Cryptographic fingerprints (SHA-256) covering all submitted materials
• A fixed, auditable representation of what was submitted at issuance
Standardised evidentiary outputs suitable for institutional retention, including:
• A sealed Reviewer Copy designed for audit, regulatory, and compliance retention
• A Live Record URL for controlled disclosure and review
RegistryRail™ Records do not provide:
• Verification of identity, authority, accuracy, completeness, or truth
• Regulatory, accounting, or technical compliance determinations
• Legal, contractual, or regulatory approval or enforceability
• Any assurance of third-party acceptance or reliance
Submitters control sharing of the Live Record URL, while reviewers may download and retain the sealed Reviewer Copy for permanent archival and working-paper use.
1.2 Operational Constraints
Any party in possession of a Record URL may be able to access the associated Record and files.
Once issued, Records cannot be withdrawn, cancelled, or deleted. Visibility and distribution are controlled solely through the User’s handling of the Record URL.
Record access is link-based. The Live Record URL functions as a controlled disclosure and reference mechanism for submitters, enabling the same locked Record to be cited, shared, and referenced consistently across multiple reviewers and review stages.
Institutions and submitters are responsible for controlling distribution and retention of Record URLs and Reviewer Copies in accordance with their internal policies.
1.3 Platform Role Limitation
RegistryRail™ provides neutral procedural infrastructure only and does not assume any duty to monitor, intervene in, correct, restrict, revoke, or disable Records after issuance.
RegistryRail™ does not adjudicate disputes, assess misuse, or determine the appropriateness of Record sharing, reliance, or interpretation. Responsibility for distribution, use, and reliance rests solely with the User and any third parties to whom a Record URL is provided.
The evidentiary validity of a sealed Reviewer Copy retained by an institution is independent of continued access to, or operation of, the Services.
Users must:
• be legally capable of entering a binding agreement.
• use the Services only for lawful purposes.
• not interfere with system logic, infrastructure, or automated processes.
RegistryRail™ may suspend or restrict access where use is unlawful, abusive, or compromises system integrity.
Users may submit climate-related declarations and supporting materials for the purpose of issuing RegistryRail™ Records on the RegistryRail™ evidentiary infrastructure.
All Records are issued solely on the basis of materials provided by the User. RegistryRail™ does not review, verify, validate, certify, assess, interpret, or endorse the substance, accuracy, completeness, or reliability of any Submission.
By submitting materials, the User represents and warrants that they have the necessary rights, authority, and permissions to submit the content and any associated attachments, and that doing so does not infringe the rights of any third party. RegistryRail™ applies procedural integrity protections only, including cryptographic timestamping, hashing, custody metadata, and structured record formatting.
Scope limitations are defined in Section 1 (Purpose and Scope).
Where enabled by the User, limited non-content metadata (such as record type, issuance date, or general location indicators) may appear in system-generated feeds or listings. Submitted content and supporting materials are not publicly accessible unless the User explicitly shares the associated Record URL.
Records are sealed at issuance. Once issued, Records cannot be modified, amended, or deleted. Any correction, update, or additional information must be submitted as a new Record with its own timestamp. New Records may reference earlier Records to preserve chronological continuity without altering previously issued evidence.
3.1 Identity and Contact Details
RegistryRail™ does not verify identity or authority. Identity verification and authorisation controls remain the responsibility of the submitting organisation and its reviewers.
Responsibility for providing accurate and lawful contact details rests solely with the submitter.
Supporting documents are not publicly browsable and are accessible only via Record URLs.
Access is link-based. Anyone in possession of a valid URL may be able to access the Record and associated materials. RegistryRail™ does not authenticate recipients and assumes no responsibility for onward distribution.
Users should treat Record URLs as sensitive access credentials and distribute them only through controlled channels. RegistryRail™ cannot invalidate, recall, or revoke access to a Record URL once issued and assumes no responsibility for loss, misdirection, or unauthorised onward sharing of URLs.
RegistryRail™ applies procedural integrity protections only. Scope limitations are defined in Section 1 "(Purpose and Scope)."
Sealed Reviewer Copies downloaded and retained by institutions remain complete, usable, and evidentially valid independent of Live Record URL availability, lifecycle management, or service continuity.
All system architecture, software, interfaces, databases, documentation, trademarks, and domain assets forming part of the Services are the exclusive intellectual property of VerifiedClimate™ Limited.
This includes the RegistryRail™ architecture and evidentiary classification framework.
No licence or right is granted except as required to use the Services in accordance with these Terms.

The Company operates under Irish law and is subject to the Companies Act 2014 and applicable data protection regulations, including the General Data Protection Regulation.
Submitted data is stored and processed on ISO/IEC 27001-certified and SOC-audited infrastructure providers.
Security, encryption, retention, and resilience controls are described in the Privacy Policy and the Security page. Full technical specifications, including infrastructure certifications and audit reports, are available upon request to institutional users.
Users remain responsible for ensuring submissions comply with applicable law and third-party rights.
All issuance and custody functions operate through fully automated workflows governed by pre-coded system logic. This automated operation ensures that issuance-time custody and integrity protections are applied deterministically and without discretionary intervention.
RegistryRail™ does not provide subjective verification services, mediate disputes, exercise discretion over issuance outcomes, or determine suitability, reliance, or acceptance of any Record.
No human handling layer is involved in Record issuance or custody.
VerifiedClimate™ Limited operates RegistryRail™ as neutral evidentiary infrastructure and does not constitute a separate service, product, or assurance layer. This model ensures Records remain usable, verifiable, and reviewable independent of VerifiedClimate™ as an operating entity.
Use of the Services may require payment. Pricing is published on the Services or communicated at submission.
Fees are non-refundable once payment authorisation occurs. A Record is deemed issued once a cryptographic timestamp is assigned and included in the issued outputs. Processing times may vary based on system load and third-party service availability.
RegistryRail™ may modify pricing for future submissions.
Once issued, a Record is locked, sealed, and timestamped on the RegistryRail™ evidentiary infrastructure. Its contents cannot be altered without breaking cryptographic integrity.
Records are tamper-evident by design. Any modification to a previously issued Record or its supporting materials would invalidate the associated cryptographic fingerprint and be detectable.
If a User wishes to correct, update, or supplement a prior submission, a new Record must be issued through the standard submission process. New Records may reference earlier Records to preserve evidentiary continuity and chronology.
This model ensures a durable, reviewable audit trail while avoiding retrospective alteration of issued Records.
10.1 Reliance Disclaimer
The issuance of a RegistryRail™ Record does not create, imply, or support any representation that the Record is suitable for any particular purpose or that any third party should rely upon it.
All reliance decisions remain entirely with auditors, regulators, funders, insurers, and other independent reviewers, who must apply their own professional judgment and standards.
RegistryRail™ assumes no duty to any third party arising from the issuance, availability, or use of any Record.
Institutions that choose to rely on Records do so by retaining and assessing the sealed Reviewer Copy within their own governance, audit, or regulatory frameworks.
Nothing in the issuance of a RegistryRail™ Record alters the professional judgment obligations of auditors, regulators, funders, or other reviewers, as described in the FAQs published on the VerifiedClimate™ website.
Where enabled by the User, non-personal summary metadata from Records may appear in public system feeds or tickers.
Supporting documents and personal contact information are never publicly displayed.
Users may embed or reference Record URLs in third-party disclosures, dashboards, or reports.
Both the Live Record Link and the Reviewer Copy include the Record summary, cryptographic details, and submitted supporting files. Files cannot be excluded after issuance.
Users requiring restricted access must upload redacted files or issue a separate Record. RegistryRail™ does not authenticate recipients or control onward distribution.
To the maximum extent permitted by law, RegistryRail™ shall not be liable for any indirect, incidental, consequential, special, or exemplary losses.
Aggregate liability shall not exceed the total fees paid by the User in the twelve months preceding the claim. No guarantee is made regarding external recognition or enforceability of any Record.
13.1 Service Availability
RegistryRail™ does not guarantee uninterrupted or continuous availability of the Services or Records and shall not be liable for delays, outages, or service interruptions arising from maintenance, system load, third-party infrastructure dependencies, or events beyond its reasonable control.
Long-term evidentiary retention is achieved through sealed Reviewer Copies downloaded and retained by users or institutions in accordance with their own record-keeping obligations.
The evidentiary value of sealed Reviewer Copies retained by institutions is independent of service availability or company continuity.
RegistryRail™ reserves the right to protect the integrity, availability, and lawful operation of the Services and the RegistryRail™ infrastructure.
The following actions are strictly prohibited:
• Submitting unlawful, fraudulent, misleading, or infringing content.
• Attempting to interfere with, circumvent, or compromise system security or integrity protections.
• Misrepresenting the nature, source, or authority of submitted materials.
• Using the Services in a manner intended to deceive reviewers, regulators, or other third parties.
• Attempting to reverse-engineer, tamper with, or bypass evidentiary safeguards.
RegistryRail™ may suspend or terminate access to the Services, or take other appropriate action where misuse, abuse, or violation of these Terms is identified.
Serious or repeated violations may result in permanent termination of access and, where appropriate, referral to relevant authorities or pursuit of legal remedies. Actions taken under this section are intended to preserve the neutral, procedural nature of the infrastructure and do not constitute review or judgment of Record content.
RegistryRail™ may amend these Terms from time to time.
Material changes will be posted at least 30 days in advance and take effect on the specified effective date.
Continued use after that date constitutes acceptance.
These Terms are governed by Irish law. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Republic of Ireland.
